Acceptance of These Terms

Eligibility to Use the Services

Our services are intended for individuals who are at least eighteen years of age and for businesses that are legally formed and authorized to trade. By using the services, you confirm that you meet these requirements.

If you use the services on behalf of a business, you confirm that the business is properly registered in its country of operation and that it is authorized to import the goods it orders. We may ask for proof of registration or import authorization before accepting certain orders.

We reserve the right to decline service to anyone at our reasonable discretion, including in cases where we suspect fraud, sanction violations or any other unlawful activity. Declining service does not affect the validity of orders that have already been accepted.

Accounts and Registration

Quotes and Orders

When you send us a product list and target volumes, our trading desk will prepare a quotation. A quotation is an invitation to you to place an order; it is not a binding offer to sell until we have confirmed your order in writing.

To place an order, you provide the products, quantities, delivery terms and other details agreed in the quotation. Your order becomes binding only when we confirm it in writing, by email or through an accepted purchase order document. At that point, both parties are bound by the confirmed order terms.

We may need to adjust an order if a product is discontinued, a factory cannot meet the required schedule or a legal restriction applies. In such cases, we will inform you promptly and offer a reasonable alternative, a revised timeline or a full refund of any payment received, at your choice.

Pricing and Payment

Prices are quoted in the currency stated in the quotation and are valid for the period indicated in the quotation, usually thirty days. After the validity period, prices may be revised based on changes in raw material costs, exchange rates or freight rates.

Prices do not include import duties, taxes or customs charges in your country unless expressly stated. You are responsible for all taxes, duties and regulatory fees that apply to the import of the goods, except where we have agreed otherwise in writing.

Payment terms are agreed per order and are usually stated in the quotation. Common terms include advance payment, letter of credit and documents against payment. Title to the goods passes to you according to the delivery terms agreed for the order, typically upon delivery to the carrier.

If a payment is not received by the agreed date, we may suspend further work on the order until payment is received. Late payment may accrue interest at a reasonable rate, and we may charge reasonable collection costs if enforcement becomes necessary.

Shipping and Delivery

Delivery terms are agreed for each order and follow standard international trade terms such as EXW, FOB and CIF, as recorded in the confirmed order. The choice of trade term determines when risk and responsibility for the goods pass from us to you.

We provide estimated delivery dates based on the current production and shipping schedule. These dates are estimates, not guarantees, and they may change due to port congestion, weather, regulatory checks or other factors beyond our control. We will keep you informed of any significant changes.

You are responsible for providing a correct delivery address and for arranging any customs clearance or inland transport required at your end, unless we have agreed to provide those services. If delivery is refused or cannot be completed because of incorrect information, any resulting costs and charges are your responsibility.

Import and Export Compliance

Both parties agree to comply with the export control laws and economic sanctions of China and of the jurisdictions in which the goods are imported and exported. We will not knowingly handle goods that are subject to export restrictions without the necessary authorization.

You confirm that the goods you order are not intended for use in any activity that violates applicable law, including the production of weapons, the support of sanctioned entities or any other restricted purpose. You are responsible for obtaining the import licenses, permits and approvals required for the goods in your country.

We prepare the export documentation required to move the goods out of China, including packing lists, commercial invoices and certificates of origin where applicable. We are not responsible for the accuracy of information you provide that appears in these documents, and we will rely on that information in preparing them.

Inspection and Acceptance

Before shipment, goods are inspected according to the quality control process described in our quotation and order documents. Our team checks the goods against the agreed specifications and shares inspection records with you before the goods leave the warehouse.

If you wish to conduct your own inspection, you may request a pre-shipment inspection by an independent agency, with the cost and arrangement to be agreed in advance. Any inspection conducted by you or your agent does not limit your obligations under these terms or the order.

Goods are deemed accepted when they are delivered according to the agreed trade terms, unless you notify us of a valid claim in accordance with the returns and warranty provisions below. After acceptance, risk of loss or damage to the goods rests with you.

Returns, Refunds and Cancellations

You may cancel an order before production begins, free of charge. Once production has started, cancellation may be subject to a charge reflecting the costs already incurred for materials and labor.

If goods delivered do not conform to the agreed specifications and the non-conformity is notified within the time frame stated in the order documents, we will, at our option, repair, replace or refund the affected goods. Refunds are issued to the original payment method within a reasonable time after the claim is approved.

Claims must be supported by photographs or other reasonable evidence and must be notified in writing within the agreed claim period, usually fourteen days after delivery. Claims raised after the period, or for goods that were damaged by misuse, mishandling or improper storage, will not be accepted.

Quality Standards and Warranty

We make reasonable efforts to ensure that the goods we deliver conform to the specifications agreed in the order. The quality standard for each order is the standard described in the quotation, the product specifications and the samples approved before production.

Our warranty is limited to defects that exist at the time of delivery and that are notified within the claim period described in the returns section. The warranty does not cover normal wear and tear, damage caused by transport after delivery, or defects caused by your modifications, misuse or failure to follow handling instructions.

Except as expressly stated in this section, the services and goods are provided as they are and we make no other warranties, whether express, implied or statutory, including implied warranties of merchantability or fitness for a particular purpose, to the maximum extent permitted by law.

Intellectual Property

The website, including its text, layout, graphics, logo, brand name and the seal mark, is the property of Kunming Zudan Trading Co., Ltd. and the developer UltimateTao, and is protected by copyright and other intellectual property laws. You may not reproduce, distribute or modify any part of the website without our prior written permission.

You retain ownership of the intellectual property rights in the product specifications, designs and materials you provide to us for the purpose of fulfilling an order. We use your materials only to produce and deliver the goods you request, and we do not claim ownership of them.

If you submit feedback or suggestions about our services, you grant us a non-exclusive, royalty-free license to use that feedback to improve our services. We will not use your feedback in a way that misrepresents it as coming from you.

Confidential Information

During our business relationship, each party may share confidential information with the other, including product specifications, pricing, supplier details, customer lists and business plans. Both parties agree to keep such information confidential and to use it only for the purpose of the business relationship.

Confidential information does not include information that is publicly available without breach of this clause, information already known to the receiving party, or information independently developed without reference to the confidential material. A party may disclose confidential information when required by law, after giving reasonable notice where permitted.

The obligation of confidentiality continues for five years after the end of the business relationship, or for so long as the information remains confidential, whichever is longer. On request, each party will return or destroy confidential materials it holds.

Limitation of Liability

To the maximum extent permitted by law, Kunming Zudan Trading Co., Ltd. shall not be liable for any indirect, incidental, special, consequential or punitive damages, including lost profits, lost revenue, lost data or loss of business opportunity, arising out of or in connection with the use of the website or the services.

Our total liability for all claims arising out of or related to an order shall not exceed the amount actually paid by you for that order. Different limits may apply where required by mandatory law, and nothing in this section limits liability that cannot be limited by law, such as liability for fraud or for death or personal injury caused by negligence.

The limitation of liability in this section applies regardless of the form of action, whether in contract, tort, strict liability or otherwise, and whether the possibility of such damages was known to us.

We do not warrant that the website will operate without interruption, that it will be free of errors or defects, or that it will be compatible with every device and browser.

Indemnification

We will notify you of any claim that we believe falls within this indemnity, and we will give you a reasonable opportunity to participate in the defense of the claim. The indemnity survives the termination of these terms.

Termination

Either party may end the business relationship at any time by written notice, subject to the completion of orders that are already in progress. Orders that have been accepted before the notice remain governed by these terms until they are completed or cancelled by agreement.

We may suspend or terminate your access to the website and the services immediately if you breach a material provision of these terms, if you fail to pay an amount due, or if we reasonably believe that continuing the relationship would violate the law or expose us to material risk.

On termination, provisions of these terms that are intended to survive, including sections on intellectual property, confidential information, limitation of liability, indemnification and dispute resolution, continue to apply to the extent necessary.

Force Majeure

Neither party shall be liable for failure or delay in performing its obligations under an order if the failure or delay results from an event beyond the reasonable control of that party. Such events include natural disasters, war, civil unrest, epidemics, government action, port closures, strikes, transport interruptions and disruptions to public utilities.

The affected party will notify the other party as soon as reasonably possible, describe the nature of the event and provide an estimate of its expected duration. The affected party will use reasonable efforts to limit the impact of the event and to resume performance when the event is resolved.

If a force majeure event continues for more than sixty days, either party may cancel the affected order. Any payments made for goods not yet produced or delivered will be returned, less any documented costs already incurred, and neither party will have further liability for the cancelled order.

Dispute Resolution and Governing Law

These terms are governed by the laws applicable within China, without regard to conflict of law principles. The application of the United Nations Convention on Contracts for the International Sale of Goods is excluded.

Any dispute arising out of or in connection with these terms or the services will first be addressed through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty days, either party may refer the matter to the competent courts in China.

Nothing in this section prevents either party from seeking urgent injunctive or other equitable relief in any court of competent jurisdiction to protect its rights, and mandatory rights under the law of your own country are not affected by this section.

Severability

If any provision of these terms is found to be invalid, illegal or unenforceable under applicable law, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

If a provision is found to be invalid only in part, the valid part will remain effective. The parties will work together in good faith to replace any invalid provision with a valid one that comes as close as possible to the original intention.

The failure of either party to exercise a right or to enforce a provision does not constitute a waiver of that right or provision. A waiver of a right in one instance does not mean that the right is waived in any other instance.

Entire Agreement

These terms, together with the Privacy Policy, any order documents and any specific terms agreed in writing for a particular order, constitute the entire agreement between you and Kunming Zudan Trading Co., Ltd. regarding the use of the website and the services.

The terms supersede all prior agreements, proposals, representations and understandings, whether written or oral, relating to the subject matter of these terms. No course of dealing or custom of trade will be used to modify or supplement these terms.

No amendment to these terms is effective unless it is made in writing and signed by an authorized representative of both parties, or unless it is made by us in accordance with the changes to terms section below.

Changes to These Terms

We may revise these Terms of Service from time to time to reflect changes in our business, the services we offer or the legal environment in which we operate. When we make a change, we update the effective date shown at the top of this page.
